Terms of Service

Please read these Terms of Service carefully before accessing or using the Ayamayai platform. These terms govern your use of our gaming infrastructure and related services as an operator.

1. Acceptance of Terms

By accessing or using the Ayamayai platform and services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

These Terms of Service constitute a legally binding agreement between you (the operator) and Ayamayai LLC. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

We reserve the right to update these Terms of Service at any time. Continued use of the platform after any such changes constitutes your acceptance of the revised terms.

2. Platform Services

Ayamayai provides a full-stack gaming platform including sportsbook, casino, and virtuals infrastructure, back-office tooling, agent network management, and compliance and reporting services.

Access to specific features and services is determined by the service tier and contract agreed upon between Ayamayai and the operator. Features may be added, modified, or discontinued at our discretion with reasonable notice.

We will use commercially reasonable efforts to ensure the platform is available 99.5% of the time, excluding scheduled maintenance windows. Planned maintenance will be communicated in advance via your designated operator dashboard.

3. Operator Responsibilities

As an operator, you are solely responsible for obtaining and maintaining all applicable gaming licences, permits, and regulatory approvals in every jurisdiction in which you operate. Ayamayai provides technology infrastructure and does not hold or provide gaming licences on your behalf.

You are responsible for ensuring your business operations comply with all applicable laws and regulations, including but not limited to anti-money laundering (AML) requirements, know-your-customer (KYC) obligations, responsible gambling standards, and data protection laws.

You must not use the platform for any unlawful purpose, to infringe on any intellectual property rights, to transmit harmful or malicious code, or in any manner that could damage, disable, or impair the platform.

4. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any other security breach.

We reserve the right to terminate or suspend your account at any time if we reasonably believe your account has been compromised, if you have breached these terms, or if required by law or regulation.

Access to the client area and API credentials must be restricted to authorised personnel within your organisation. You are responsible for managing role-based access controls and revoking access for departing employees promptly.

5. Fees and Payment

Fees for platform services are set out in your operator agreement. All fees are exclusive of applicable taxes, which are your responsibility to determine and remit.

Invoices are issued monthly and payment is due within the period specified in your agreement. Late payments may incur interest charges and, where persistently unpaid, may result in suspension of services.

We do not apply hidden fees. Any changes to the fee structure will be communicated with at least 30 days notice prior to taking effect.

6. Intellectual Property

The Ayamayai platform, including all software, designs, trademarks, and proprietary technology, is the exclusive property of Ayamayai LLC and its licensors. Nothing in these Terms grants you ownership of any platform intellectual property.

You are granted a limited, non-exclusive, non-transferable licence to access and use the platform solely for the purpose of operating your licensed gaming business as contemplated by your operator agreement.

Any feedback, suggestions, or improvements you provide regarding the platform may be used by Ayamayai without restriction or compensation.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Ayamayai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the platform.

Our total liability to you for any direct damages shall not exceed the fees paid by you to Ayamayai in the three months preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory under which liability is sought, including contract, tort, strict liability, or otherwise, even if Ayamayai has been advised of the possibility of such damages.

8. Confidentiality

Each party agrees to treat the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care.

Confidential information includes all non-public technical, commercial, financial, and operational information disclosed by either party in connection with these Terms or the operator agreement.

Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that the receiving party is required to disclose by law or regulatory order.

9. Termination

Either party may terminate the operator agreement and these Terms upon written notice if the other party materially breaches any provision and fails to cure such breach within 30 days of receiving written notice.

Upon termination, your access to the platform will cease. We will provide you with a reasonable period to export your data in accordance with the terms of your operator agreement.

Provisions of these Terms that by their nature should survive termination, including intellectual property, confidentiality, and limitation of liability provisions, shall survive any termination.

10. Governing Law and Disputes

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction specified in your operator agreement, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties' authorised representatives.

If a dispute cannot be resolved through negotiation within 30 days, it shall be referred to binding arbitration in accordance with the rules of the relevant arbitral authority in the governing jurisdiction.
